1. Agreement to Terms

By accessing, registering for, or using **IndiaLeadPro** ("the Service", "the Platform"), you agree to be bound by these Terms of Service (these "Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately terminate your use of the Platform and the Service.

2. Age & Capability Requirements

The Service is a business-to-business (B2B) platform. By using the Service, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and possess the full legal authority, right, and capability to enter into a binding agreement. If you are using the Service on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service & Limits

The Service provides automated lead synchronization, advanced keyword/location filtering, and instant lead allocation (Auto-Buy) modules for your linked marketplace profiles. You understand and agree that:

• The speed of lead allocation is optimized for real-time delivery and depends on network latencies and your individual account parameters.
• Daily lead acquisition limits are strictly determined by your subscription plan. The Platform will automatically pause synchronization for the day once your allocation limit is reached.
• You are entirely responsible for maintaining valid, secure account connections inside your settings panel.

4. Subscriptions, Payments & Billing

Subscription charges are billed in advance on a recurring cycle (quarterly, half-yearly, or annually) based on your selected package. You can cancel or modify your plan at any time through your Billing Panel. To negotiate custom high-limit packages, please submit a query via our Contact Page.

The Service is owned and operated by our parent entity in the United Kingdom. Billing, invoicing, and local payment collection services (including UPI, netbanking, and domestic card processing) may be managed, processed, and fulfilled by our authorized regional affiliates, local franchise partners, or distribution agents in your respective country or region (including India).

5. Strict No-Refund Policy

We enforce a strict **No-Refunds Policy**. Due to the digital nature of the services, infrastructure costs, and third-party allocation charges incurred immediately upon lead allocation and synchronization, **all purchases are final**. Under no circumstances will refunds, partial or full, be offered or processed for active packages, unused balances, or automated renewals.

6. User Responsibilities

As a condition of your use of the Service, you agree to fulfill the following obligations:

• Credential Security: You are responsible for keeping browser session cookies, API tokens, passwords, and access credentials secure. You must immediately notify us of any unauthorized use or security breach of your account.
• Information Accuracy: You agree to provide accurate, current, and complete information during registration and payment processing, and keep this information updated.
• Third-party Compliance: You must comply with all rules, terms of service, and developer policies of third-party platforms you connect (including IndiaMART).
• Legality of Use: You agree to use the Service only in compliance with applicable local, national, and international laws and regulations.

7. Prohibited Activities

You are strictly prohibited from engaging in any of the following activities on or through the Service:

• Reverse Engineering: Reverse engineering, decompiling, disassembling, or attempting to extract the source code or underlying algorithms of the Service.
• Copying & Scraping: Scraping, harvesting, copying, or duplicating the Service's interface design, content, code, or databases without prior written permission.
• Competing Services: Using the Service or its data to build a competing product, service, or software.
• Bypassing Limits: Circumventing, tampering with, or attempting to bypass subscription plans, allocation limits, or security controls.
• Account Sharing: Sharing user credentials, access tokens, or account access with unauthorized third parties.
• System Abuse: Exploiting system bugs, sending excessive automated requests, or introducing malware, viruses, phishing, or other malicious code.
• Reselling: Leasing, reselling, or distributing access to the Service or lead stream to unauthorized entities.

8. Intellectual Property

All rights, title, and interest in and to the Service, including but not limited to software, source code, database structures, trademarks, logos, interface designs, documentation, algorithms, workflows, and intellectual property, remain the exclusive property of IndiaLeadPro and its licensors. Except for the limited, non-exclusive, non-transferable license granted to access and use the Service in accordance with these Terms, no license or rights are granted to you.

9. Privacy Policy

Your privacy is extremely important to us. Your use of the Service is also governed by our Privacy Policy, which explains how we collect, store, process, and safeguard the information you provide or synchronize through the Platform.

10. Termination & Suspension Rights

We reserve the right, in our sole discretion, to suspend or permanently terminate your account and access to the Service immediately and without prior notice or liability if:

• You violate, breach, or fail to comply with any provision of these Terms.
• Fraudulent, abusive, or illegal activity is detected in connection with your account.
• Your usage threatens the stability, security, or infrastructure of our servers.
• Your payment fails or automatic renewal charges are declined.
• Termination is required by law, court order, or regulatory authority.
• Continued access creates operational, security, or legal risks for IndiaLeadPro.

Upon termination of your account, your right to use the Service ceases immediately. **No refunds, credits, or adjustments will be issued for any terminated accounts.**

11. Limitation of Liability & No Lead Guarantees

The Service is provided on an "as is" and "as available" basis without any warranties of any kind. Under no circumstances shall IndiaLeadPro, its directors, employees, or affiliates be held liable for any loss of business profits, service interruptions, missed leads, failure of the bot to capture leads, data loss, or operational disruptions arising from software bugs, system delays, changes in third-party interface configurations, or communication network downtimes. We provide integration services on a best-effort basis and do not guarantee 100% lead delivery or successful acquisition.

12. Indemnity

You agree to indemnify, defend, and hold harmless IndiaLeadPro, its directors, officers, employees, affiliates, and partners from and against any and all claims, damages, losses, liabilities, costs, and legal expenses (including reasonable attorneys' fees) arising from or relating to:

• Your access to or use of the Service;
• Your violation of any provision of these Terms;
• Your violation of any third-party terms, rules, or policies (including those of IndiaMART);
• Any legal actions, disputes, or claims resulting from your configuration and use of our automated features.

13. Force Majeure

IndiaLeadPro shall not be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control. Such events include, but are not limited to, internet service provider failures, cloud hosting outages, power failures, governmental actions, cyberattacks, hacking, DDoS attacks, wars, civil unrest, strikes, natural disasters, epidemics, or pandemics.

14. Severability & Waiver

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

Waiver: No waiver of any term or condition of these Terms by IndiaLeadPro shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement & Assignment

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and IndiaLeadPro regarding your use of the Service, and supersede all prior or contemporaneous communications, understandings, or agreements, whether written or oral.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. IndiaLeadPro may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or third party at its sole discretion and without your consent.

16. Modifications to Service & Terms

We reserve the right to modify, optimize, or temporarily suspend system features (including scanning speeds and filter capabilities) to maintain server load balance and overall system integrity. We also reserve the right to update these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes are made constitutes your acceptance of the updated Terms.

17. IndiaMART & Third-Party Platform Terms & Account Suspension Risk

The Service operates as an independent automation and integration utility between your local dashboard and third-party commercial marketplaces, primarily IndiaMART. You understand, acknowledge, and agree that:

• The use of automated scripts, crawlers, autobuyers, or simulated API access may violate the Terms of Service, Acceptable Use Policies, or Developer Guidelines of third-party platforms like IndiaMART.
• You choose to use this automation at your own discretion and sole risk. IndiaLeadPro does not guarantee compliance with IndiaMART's policies and shall not be held liable if IndiaMART flags, restricts, rate-limits, suspends, or permanently bans your IndiaMART account or seller credentials due to your use of our automated lead capture, synchronization, or CRM features.
• If IndiaMART modifies, restricts, blocks, or terminates access to their interfaces or API endpoints, the Service may become partially or completely degraded or permanently unusable. IndiaLeadPro is not liable for any such platform changes, and no refunds, credits, or subscription extensions will be issued in these events.
• You bear 100% of the responsibility, liability, and consequences for linking your IndiaMART account to this Service.

18. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any legal actions, disputes, or claims arising out of or in connection with the Service shall be subject to the exclusive jurisdiction of the courts located in West Midlands, United Kingdom.

19. Feature-Specific Terms & Disclaimers

• WhatsApp Alerts: WhatsApp notifications are sent on a best-effort basis via third-party messaging integrations. We are not liable for delayed, blocked, or failed WhatsApp messages caused by network congestion, carrier issues, or changes to WhatsApp's API policies and guidelines.
• Keyword & Location Filtering: Lead filtering operates strictly based on your configured positive/negative keywords and geographic criteria. If you misconfigure these filters, leading to the automatic purchase of unwanted leads or the bypassing of relevant leads, IndiaLeadPro holds no responsibility, and no credits or refunds will be given.
• Passwordless Connection Security: We use secure token/session cookie connection protocols to link your marketplace account without requiring your account passwords. You are responsible for ensuring that the browser cookies or session keys you share are kept private, and we are not liable for any security compromises originating from your local system or browser.
• Data Retention & CSV Exports: Lead history data on your CRM dashboard is retained as a convenience. You are strongly advised to regularly download and export your leads to CSV. We do not guarantee permanent backup of historical lead data and are not liable for any data loss resulting from server failures, account deletion, or database resets.

20. License to Use the Service

Subject to these Terms and payment of applicable subscription fees, IndiaLeadPro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes. You agree that this license does not convey any ownership rights, title, or interest in the Platform or its underlying source code.

21. Electronic Communications

You agree that all notices, invoices, subscription updates, legal agreements, disclosures, and other communications sent by email, WhatsApp (where applicable), or through your dashboard satisfy any legal requirement that such communications be in writing. Replying to emails or checking consent boxes on the Platform constitutes binding electronic consent.

22. Beta Features

We may from time to time release experimental or pre-production tools ("Beta Features"). Beta Features are provided strictly on an "as is" and "as available" basis, without warranties of any kind. We reserve the right to modify, suspend, or permanently remove Beta Features at any time without notice or liability.
